Membership Agreement

MEMBERSHIP AGREEMENT
Atlanta Medical Day Spa & Surgery Center
D/B/A Physicians Aesthetics or Atlanta MediSpa & Surgery Center

This Membership Agreement (the “Agreement”) is entered into by and between the undersigned individual (“Member”) and Atlanta Medical Day Spa & Surgery Center, doing business as Physicians Aesthetics or Atlanta MediSpa & Surgery Center, a Georgia limited liability company with its principal place of business in Marietta, Georgia (the “Company”).

By enrolling in a membership verbally, electronically, or through online submission, the Member acknowledges and agrees to be bound by the terms and conditions set forth herein.

1. Membership Options and Fees

The Company offers the following membership tiers:

  • Standard Membership: $99.00 per month

  • Body Sculpting Membership: $400.00 per month

Monthly membership fees shall be charged automatically to the payment method provided by the Member and shall continue on a recurring basis unless and until terminated in accordance with this Agreement.

2. Member Benefits

During the active term of membership, the Member shall be entitled to the following benefits:

  • Twenty-five percent (25%) discount on one (1) retail product per calendar month;

  • Twenty percent (20%) discount on one (1) qualifying aesthetic treatment per calendar month (including but not limited to: one syringe of filler, laser service, facial, chemical peel, dermaplaning, microdermabrasion, or similar procedure as determined by the Company);

  • Reduced rate of ten dollars ($10.00) per unit for Botox® injections (regular rate: $14.00/unit), available at any time during business hours;

  • Priority appointment booking;

  • Exclusive access to member-only events offering complimentary or discounted services, products, and promotional opportunities at the sole discretion of the Company.

All benefits are subject to availability and may not be redeemed for cash, are non-transferable, and must be used within the applicable month. Unused benefits do not roll over.

3. Automatic Payment Authorization

By enrolling, Member authorizes the Company to charge the credit card or other payment method provided on file for the applicable monthly membership fee, recurring on a monthly basis from the enrollment date. Member agrees to maintain a valid payment method on file throughout the term of this Agreement.

This authorization shall remain in effect unless and until canceled by the Member pursuant to the cancellation policy set forth in Section 5 of this Agreement.

4. Membership Hold

Member may request a one-time hold of membership for a period not to exceed three (3) consecutive calendar months. Such request must be submitted in writing to physiciansaesthetics@gmail.com.

During the hold period:

  • Monthly billing shall be suspended;

  • Membership benefits shall be suspended;

  • Billing shall resume automatically upon the expiration of the hold period without further notice.

5. Cancellation Policy

Member may cancel this Agreement at any time by providing written notice to physiciansaesthetics@gmail.com. Cancellation shall become effective thirty (30) days following the date written notice is received by the Company. No refunds, prorated or otherwise, shall be issued for any membership fees already paid.

It is the responsibility of the Member to retain proof of submission and receipt of cancellation notice.

6. Termination by Company

The Company reserves the right to terminate any membership, with or without cause, at its sole discretion. In such event, a refund will not be issued.

7. Limitation of Liability; Assumption of Risk

Member acknowledges and agrees that all of the services, products, and treatments offered by the Company are elective, non-medically necessary procedures. Member voluntarily assumes all risks associated with participation in services and treatments rendered under this membership.

To the fullest extent permitted by law, the Company, its affiliates, officers, employees, agents, and contractors shall not be liable for any claims, losses, injuries, damages, or liabilities arising out of or related to the Member’s participation in any service or use of any product, whether based in contract, tort, negligence, strict liability, or otherwise.

8. Modifications

The Company reserves the right to modify this Agreement, including membership fees, benefits, or terms and conditions, at any time upon thirty (30) days’ prior written notice to Member. Continued participation in the membership following such notice constitutes acceptance of the modified terms.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.

Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Cobb County, Georgia, and the parties hereby consent to the jurisdiction and venue of such courts.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior or contemporaneous oral or written understandings, representations, or agreements. No verbal statements or online actions shall modify the binding nature of this Agreement except as expressly permitted herein.
